Terms and conditions:
A. User shall not at any time store with Business and it's owner any information or data that is not in accordance with syntax and rules of VHDL or VERILOG HDL langauges.
B. User shall protect their information or protected technological information, or any other information where such other information is required.
C. Business and it's owner reserves the right to update/ammend the service and it's features.
D. Business and it's owner is not and shall not be deemed a contract or common carrier. The valuation and liability provisions of these Terms and Conditions shall apply to services provided by Business and it's owner.
E. User agrees that any failure or delay in Business and it's owner delivering Records or providing other Services within a reasonable period of time shall not constitute a failure of Service or a conversion of data/file(s), nor subject Business and it's owner to any liability, when such failure or delay results from any communication or power system failures, inernet/network related unusual delays or other reason beyond Business and it's owner’ reasonable control.
F. User acknowledges that each another representative of User shall have full authority on behalf of User to order or request any Services unless User provides specific written instructions to the contrary. Unless User specifically instructs Business and it's owner otherwise in writing, User authorizes Business and it's owner when performing deliveries to leave Records with any User representative, e.g. receptionist, who greets the Business and it's owner courier, even if User representative may not otherwise be authorized by User to order or request Services.
G. Business and it's owner shall have the right to refuse Services without liability when Business and it's owner is doubtful as to a requesting party’s authority, or when User’s instructions are not complete to Business and it's owner’ satisfaction. Any order for Services placed via Business and it's owner’ web-based inventory program shall be deemed a valid order placed by an individual with authority to act on behalf of User.
H. Business and it's owner may subcontract with any company that is, directly or indirectly, through one or more intermediaries, under the common control of any direct or indirect parent company of Business and it's owner (each, an “Business and it's owner Affiliate”), or any responsible third party, to perform all or part of the Services. Business and it's owner’ use of contract employees shall not be deemed the use of a third party for purposes of this Paragraph.
I. Additional charges for support or service that are beyond the scope of web-site can be levied with prior agreement.
J. Any changes to User’s locations, Authorization List, and service schedules must be communicated in writing to Business and it's owner, and accepted by Business and it's owner in writing, in order to be effective. Business and it's owners reserve the right to provide services in the region where the site access is vailable or internet service is available.
* PAYMENT terms:
User agrees to pay in full to Business and it's owner all charges invoiced to User in accordance with Business and it's owner’ then current price schedule(s) and any applicable Statement(s) of Work.
* Return:
The are no physical goods that are being shipped across to customer.
Hence there is no return policy.
However the HDL files that are once downloaded across to user/customer are not considered for any return/refund.
* Refund:
The subscription work in prepaid mode and hence once subscribed, the use is expected to consume the credit units and pay those accordingly.
To the extent permitted by law or regulation and subject to any right to refund you may have under this Agreement, between you and us, we are not responsible for any actions that the relevant third party takes in relation to suspending or terminating your use of their service or for any resulting losses. We are also not responsible for, or a party to, any agreement that you enter into with any relevant third party. You should make sure that you read and comply with such agreement or other applicable policies and note that this Agreement will continue to apply between us including to any Payment Services and our Fees as stated continue to apply.
It is believed that the user has subscribed to all the necessary service(s) and hence made all Transactions and applicable Fees and charges that have been processed, there is NO refund.
